By accessing or using the Mosaic website (itsmosaic.app) and services, you agree to be bound by these Terms of Use. If you do not agree, please do not use our services. Mosaic reserves the right to update these terms at any time; changes take effect upon publication.

Mosaic is a SaaS platform purpose-built for the logistics industry, providing:

• Customer Relationship Management (CRM)
• Supplier Relationship Management (SRM)
• Spot Procurement and Quote Management
• Route Planning and Optimisation
• Project and Task Management
• Reporting and Analytics Dashboards

We reserve the right to modify, add or remove features without prior notice.

3. Account Registration

To use the Platform you must create an account. You are responsible for:

• Providing accurate and complete registration information
• Keeping your password confidential and notifying us immediately of unauthorised access
• Being at least 18 years old or having appropriate parental/guardian consent
• Using a valid business email address

4. Acceptable Use

You agree to use the Platform only for lawful purposes and in accordance with these Terms. You must not:

• Use the Platform for any illegal, fraudulent or unauthorised purpose
• Upload malicious software, viruses or harmful code
• Overload or disrupt Platform infrastructure through automated tools or scripts
• Attempt to gain unauthorised access to other accounts or backend systems
• Reverse-engineer, decompile or otherwise attempt to extract source code
• Use the Platform to build a competing product or service

5. Intellectual Property

All content, design, trademarks, logos, software and other materials on the Platform belong to Mosaic and are protected by copyright, trademark and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable licence to use the Platform for your internal business purposes. Under this licence you may not:

• Copy, redistribute or sublicense the Platform software
• Use Mosaic trademarks or logos without prior written permission
• Create derivative works based on the Platform

Customer Data: All data you enter into the Platform remains yours. You grant Mosaic a limited licence to process that data solely for the purpose of delivering the Services.

6. Billing and Payment

• Subscription fees are charged in advance on a monthly or annual basis
• Upgrades are billed immediately; downgrades take effect at the next renewal
• Fees are non-refundable unless otherwise stated
• We will provide at least 30 days' notice of any price changes
• Overdue payments may result in service suspension

7. Privacy

Your personal data is processed in accordance with our Privacy Policy and GDPR Notice. By using our Services you acknowledge the data processing practices described in those documents.

8. Disclaimer of Warranties

The Platform is provided "as is" and "as available" without warranties of any kind. We do not guarantee uninterrupted, error-free or completely secure access to the Platform.

9. Limitation of Liability

Mosaic shall not be liable for:

• Service interruptions or performance issues
• Damages arising from User error or unauthorised use
• Content or services provided by third parties
• Indirect, consequential, incidental or punitive damages (including loss of profit, data or reputation)
• Events beyond our reasonable control (force majeure)

Our total aggregate liability shall in no event exceed the total fees paid by you in the 12 months preceding the relevant claim.

10. Termination

By you: You may close your account at any time. Prepaid fees are non-refundable.

By us: We may suspend or terminate your account if you:

• Breach these Terms of Use
• Fail to pay subscription fees
• Misuse the Platform
• Are required by applicable law

Upon termination, we will provide a 30-day window to export your Customer Data before deletion.

11. Governing Law

These Terms are governed by the laws of Turkey. Any disputes shall be subject to the exclusive jurisdiction of the courts of Istanbul. The parties agree to attempt to resolve disputes in good faith before initiating formal proceedings.
